Due to the perishable nature of food products, orders generally cannot be cancelled or modified once they have been confirmed and preparation has begun. 5.4 Refunds and Disputes

If you are unsatisfied with your order due to an error on our part (e.g., incorrect items, missing items), please contact us within 24 hours of receipt of your order. Refunds, credits, or replacements will be issued at our sole discretion. We do not guarantee refunds for subjective dissatisfaction with taste or quality where the order was correctly fulfilled. Initiating unauthorized chargebacks may result in account suspension and may be pursued as fraud under applicable law.

5.5 Promotional Codes and Discounts

Promotional codes and discount offers are subject to their specific terms and conditions, are non-transferable, have no cash value, and may not be combined with other offers unless expressly stated. We reserve the right to reject or revoke promotional codes at our discretion if we suspect abuse or fraud.

6. Disclaimer of Warranties

THE SITE AND ALL SERVICES, CONTENT, AND INFORMATION PROVIDED BY PEQUOD'S PIZZA ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PEQUOD'S PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE SITE;
  • WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITE OR OUR SERVICES.

Pequod's Pizza does not warrant that food products will be free from allergens not disclosed or that nutritional information presented on the Site will be 100% accurate at all times, as recipes and ingredients may change. Customers with food allergies or dietary restrictions are strongly encouraged to contact us directly before placing an order.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR WARRANTIES WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL PEQUOD'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • DAMAGES ARISING FROM YOUR RELIANCE ON INFORMATION OBTAINED FROM THE SITE;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • DAMAGES ARISING FROM ANY FOOD ALLERGIC REACTION WHERE ALLERGEN INFORMATION WAS ACCURATELY DISCLOSED;
  • DAMAGES ARISING FROM THIRD-PARTY CONDUCT, INCLUDING DELIVERY PARTNERS OR PAYMENT PROCESSORS.

IN ANY CASE, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PEQUOD'S PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

The limitations set forth in this section shall apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if Pequod's Pizza has been advised of the possibility of such damages.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pequod's Pizza, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, contractors, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, expenses (including reasonable attorneys' fees), and proceedings arising out of or related to:

  • Your use of or access to the Site or our services;
  • Your violation of any provision of these Terms;
  • Your violation of any third-party rights, including intellectual property, privacy, or proprietary rights;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Any content or information you submit, post, or transmit through the Site;
  • Any dispute or claim made by another user arising from your conduct on the Site;
  • Your use of any unauthorized payment methods or fraudulent transactions.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate fully with our defense of such claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

9. Food Safety, Allergen, and Health Information

Pequod's Pizza prepares food products in facilities that may handle and process common allergens, including but not limited to wheat, gluten, dairy, eggs, soy, tree nuts, peanuts, fish, and shellfish. While we make reasonable efforts to provide accurate allergen and nutritional information on our Site, we cannot guarantee that cross-contamination will not occur during food preparation.

Customers with severe food allergies, intolerances, or specific dietary requirements are strongly advised to contact our customer service team directly prior to placing an order. Pequod's Pizza shall not be held liable for allergic reactions resulting from undisclosed allergies or conditions not communicated to us prior to order placement.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site and services shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pequod's Pizza's principal place of business is located, without regard to conflict of law principles.

To the extent that any legal action is required and not subject to binding arbitration as described below, you consent to the exclusive personal jurisdiction of the federal and state courts located in the applicable United States jurisdiction and waive any objection to venue or jurisdiction in such courts.

Consumer protection matters shall additionally be subject to the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) and other applicable federal consumer protection statutes. Where applicable, the laws of the state in which you reside may also apply, including state-specific consumer protection statutes.

For users located in California, additional rights and protections may apply pursuant to the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and the California Consumer Legal Remedies Act (CLRA), California Civil Code § 1750 et seq.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Pequod's Pizza by email at [email protected] and provide a written description of your dispute, including any relevant facts and your proposed resolution. We will make a good-faith effort to respond within thirty (30) days and to resolve the dispute informally. Both parties agree to negotiate in good faith for a period of at least thirty (30) days prior to pursuing any formal dispute resolution.

12.2 Binding Arbitration

IF WE ARE UNABLE TO RESOLVE A DISPUTE INFORMALLY, YOU AND PEQUOD'S PIZZA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT AS OTHERWISE PROVIDED HEREIN.

Arbitration shall be conducted by a single neutral arbitrator pursuant to the rules of the American Arbitration Association (AAA) or JAMS (as mutually agreed), as applicable. The arbitration shall take place in the United States, in the jurisdiction of Pequod's Pizza's principal place of business, unless otherwise agreed by the parties or required by applicable law.

The arbitrator shall have authority to award any remedy available at law or in equity, subject to the limitations set forth in these Terms. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND PEQUOD'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions

Notwithstanding the above, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm or protect intellectual property rights pending the outcome of arbitration. Nothing in this section shall be construed to prevent either party from reporting suspected unlawful activity to appropriate government authorities.

12.5 Small Claims Court

Either party may elect to resolve a dispute in small claims court for claims within the applicable jurisdictional limits, provided the matter remains in small claims court and is pursued on an individual (non-class) basis.

13. Term and Termination

These Terms of Service are effective as of the date first listed above and shall remain in full force and effect for as long as you use the Site or maintain an account with us, unless earlier terminated in accordance with these Terms.

13.1 Termination by You

You may terminate your account and discontinue use of our services at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including any outstanding payment obligations.

13.2 Termination by Us

We reserve the right to suspend or permanently terminate your account and access to our services at any time, with or without notice, for any reason, including but not limited to:

  • Fraudulent, abusive, or unlawful conduct;
  • Extended periods of account inactivity;
  • Requests from law enforcement or government agencies;

13.3 Effect of Termination

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

15. Severability

The invalidity or unenforceability of any particular provision shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall remain in full force and effect.

The parties further agree that the remaining provisions of these Terms shall be interpreted so as to best effectuate the original intent of the parties as reflected in the Terms as a whole, even if a specific provision is found to be invalid or unenforceable.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies, notices, or agreements referenced herein or published on the Site, constitute the entire agreement between you and Pequod's Pizza with respect to your use of the Site and our services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether oral or written, relating to the subject matter hereof.

No waiver by Pequod's Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Force Majeure

Pequod's Pizza shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, government orders or regulations, labor disputes, power outages, internet service disruptions, cyberattacks, supply chain failures, or other events of force majeure. In the event of a force majeure event, we will endeavor to notify affected customers and resume normal operations as soon as reasonably practicable.

18. Electronic Communications

By using our Site and services, you consent to receive electronic communications from Pequod's Pizza, including but not limited to order confirmations, promotional offers, account notices, and updates to these Terms. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

Opting out of promotional communications does not affect our ability to send you transactional or service-related communications.
